Terms of Service

Effective: April 3, 2026

1. Acceptance of Terms

By creating an account or using Azimuth ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance.

2. Description of Service

Azimuth is a values-aligned planning and reflection application operated by Endurance Digital Ventures LLC, based in Fort Collins, Colorado. The Service includes daily, weekly, and monthly planning tools; goal tracking; rapid logging; AI-powered coaching features; push notification reminders; and data export capabilities. Access to certain features depends on your subscription tier.

3. Accounts

You must sign in with a valid Google account. You are responsible for maintaining the security of your account credentials. You must be at least 13 years old to use the Service. By using Azimuth, you represent that you meet this age requirement.

Azimuth currently operates on an invitation basis. Access is granted at our discretion. We reserve the right to modify access requirements as the Service evolves.

4. Your Content

You retain full ownership of all content you create in Azimuth — your journal entries, goals, values, collections, and all other planning data ("Your Content"). We do not claim any intellectual property rights over Your Content.

You grant us a limited license to store, process, and transmit Your Content solely for the purpose of providing and improving the Service. For AI coaching features, this includes sending relevant portions of Your Content to our AI provider (Anthropic) to generate coaching responses.

5. AI Coaching Disclaimer

AI coaching features are not a substitute for professional advice. Coaching insights generated by Azimuth are produced by an AI language model and are intended as reflective prompts and planning suggestions only. They do not constitute professional psychological, medical, financial, legal, or career counseling.

You should not rely on AI coaching outputs for decisions that require professional expertise. If you are experiencing a mental health crisis, please contact a qualified professional or crisis service immediately.

AI coaching outputs may occasionally be inaccurate, incomplete, or inappropriate. You are solely responsible for evaluating and acting on any suggestions provided.

6. Acceptable Use

You agree not to:

• Use the Service to store or transmit unlawful, harmful, or infringing content
• Attempt to access other users' data or circumvent security controls
• Reverse-engineer, scrape, or interfere with the Service's operation
• Use automated tools to access the Service beyond normal personal use
• Resell or redistribute access to the Service without authorization

7. Subscription and Payments

Azimuth offers free and paid subscription tiers. Paid features, pricing, and billing terms will be communicated at the time of purchase. You may cancel your subscription at any time; access to paid features will continue through the end of your current billing period.

Subscriptions purchased through Apple's App Store or Google Play are subject to the respective platform's billing terms and refund policies. Payments made through the App Store or Google Play are processed by Apple or Google, not by Endurance Digital Ventures LLC. For refunds on platform purchases, contact the respective platform directly.

Subscriptions purchased through our website are processed by Stripe. Refund requests for web purchases may be submitted to support@azimuthplanner.com.

We reserve the right to change pricing with reasonable advance notice. Price changes will not apply retroactively to your current billing period.

8. Service Availability

We strive to keep Azimuth available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or inconvenience caused by downtime.

9. Data and Privacy

Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

10. Termination

You may stop using Azimuth and delete your data at any time from within the app. We may suspend or terminate your access if you violate these Terms, with notice where practicable.

Upon termination, your right to use the Service ends immediately. You may export Your Content before termination using the in-app export feature. We will delete your data in accordance with our Privacy Policy.

11. Limitation of Liability

To the fullest extent permitted by law, Azimuth and Endurance Digital Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of data, loss of profits, or reliance on AI coaching outputs.

Our total aggregate liability for any claims arising from the Service shall not exceed the amount you have paid us in the twelve months preceding the claim, or $50, whichever is greater.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify, defend, and hold harmless Endurance Digital Ventures LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Dispute Resolution

Informal resolution first. Before filing any formal proceeding, you agree to contact us at legal@azimuthplanner.com and attempt to resolve any dispute informally for at least 30 days.

Binding arbitration. If we cannot resolve the dispute informally, you and Endurance Digital Ventures LLC agree to resolve any remaining dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Larimer County, Colorado, or remotely at your election. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.

Small claims exception. Either party may bring qualifying claims in small claims court in Larimer County, Colorado, as an alternative to arbitration.

15. Class Action Waiver

You and Endurance Digital Ventures LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of the Dispute Resolution section shall be null and void, and the dispute shall proceed in court under the Governing Law section below.

16. Force Majeure

Endurance Digital Ventures LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, third-party service outages, pandemics, or cyberattacks.

17. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Larimer County, Colorado.
